PCC SE has consolidated its business activities in the Chlorine & Derivatives segment to further expand vertical integration in this core business area of the PCC Group. To this end, PCC SE is contributing its subsidiaries MCAA SE and PCC MCAA Sp. z o.o. to PCC Rokita SA, the Group’s largest subsidiary. PCC SE and PCC Rokita SA signed the corresponding contribution agreement on October 15, following the signing of a letter of intent on June 16.
The transaction will be carried out as a share swap, meaning that PCC SE will receive the equivalent value of its shares in the MCAA subsidiaries in the form of newly issued shares of PCC Rokita SA, which is listed on the Warsaw Stock Exchange. The final valuation of the two companies amounts to the equivalent of 61.4 million euros. Based on a volume-weighted average price of 66.11 złoty for PCC Rokita shares over the past six months, PCC SE will receive 4,027,312 shares of PCC Rokita SA. As a result, its equity stake increases to 76.4% from the previous 71.7%, and its voting rights increase to 83.3% from the previous 81.0%. Through this contribution, PCC SE is thus strengthening its position as a strategic investor in its most important subsidiary.
From an operational perspective, the contribution will integrate the production and marketing of monochloroacetic acid (MCAA) directly into PCC Rokita SA, which produces chlorine—the key raw material for MCAA production. Business activities in this core business area of the PCC Group will thus be consolidated and managed centrally going forward. As a result, we expect further process optimizations with significant synergy effects for the business divisions and, consequently, for the entire PCC Group.
The issuance of the new shares must still be approved at a general meeting of PCC Rokita SA, for which notice has been issued. The transaction will be completed once the newly issued shares are entered in the Polish registry.
